Welcome to usawiseit.com, the official website for WISE Integrated Technologies LLC. These Terms of Service and End-User License Agreement (collectively, the “Terms”) govern your access to and use of our website usawiseit.com (the “Website”), and your subscription to and use of our proprietary peer-to-peer work platform, TaskTie (the “Platform” or “Service”).

By accessing the Website, creating an account, or purchasing a subscription, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Website or Services.

1. Definitions

“Platform” or “Service”: Refers to the TaskTie software application and platform, which is a peer-to-peer tiered work platform allowing members to engage in contract work, financial, and barter exchanges.

“User Content”: Refers to any content, data, or information that a User posts, uploads, or transmits through the Platform.
“Subscription”: Refers to the free or paid plan purchased by a User to manage their account with tiered pricing and Service Levels agreements and features associated with select SLA on the WISE Integrated Technologies website, as well as access to the features of the TaskTie Platform.

2. Scope of Services

WISE Integrated Technologies LLC provides access to the TaskTie Platform through a subscription-based model sold via our Website. The Platform is a venue that connects Users. You acknowledge and agree that:

We are a Platform Provider: WISE Integrated Technologies LLC is not a party to any agreement, contract, or transaction between Users on the TaskTie Platform. We are not an employer, agent, or broker for any User.
No Endorsement: We do not interview, vet, endorse, or guarantee the quality, legality, or safety of the services offered by Users, nor the truth or accuracy of User listings or the ability of Users to pay for services. You are solely responsible for your interactions with other Users.
Dispute Resolution: Any disputes arising between Users must be resolved directly between those Users. We are not obligated to mediate or become involved in any such disputes.

3. End-User License Agreement (EULA)

Subject to your compliance with these Terms and payment of applicable Subscription fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the TaskTie Platform for your personal or internal business purposes during your active Subscription term.

You may not:

Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform.
Modify, adapt, translate, or create derivative works based on the Platform.
Rent, lease, sell, resell, or otherwise commercially exploit the license granted to you.
Remove any proprietary notices or labels on the Platform.

4. User Accounts and Responsibilities

Registration: To access the Service, you must register for an account and provide accurate, current, and complete information.
Security: You are responsible for safeguarding your account password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
Eligibility: You must be at least 18 years of age and have the legal capacity to enter into a binding contract to use our Service.

5. Subscriptions, Payments, and Cancellations

Billing: We will bill you for your Subscription in advance on a recurring basis (e.g., monthly or annually) as specified at the time of purchase. All payments are processed through a third-party payment processor.
Automatic Renewal: Your Subscription will automatically renew at the end of each billing cycle unless you cancel it through your account settings or by contacting us at [Your Support Email Address].
Price Changes: We reserve the right to change our Subscription fees at any time. We will provide you with reasonable prior notice of any price changes. Your continued use of the Service after the price change constitutes your agreement to pay the modified fee.

6. User Conduct and Content

By posting User Content on the Platform, you grant WISE Integrated Technologies LLC a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of operating and providing the Service.

7. Intellectual Property

All rights, title, and interest in and to the Website and the Platform (including but not limited to all software, text, graphics, logos, and trademarks), with the exception of User Content, are and will remain the exclusive property of WISE Integrated Technologies LLC and its licensors. The “TaskTie” name and logo are trademarks of WISE Integrated Technologies LLC.

8. Disclaimer of Warranties

THE WEBSITE AND THE SERVICE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WISE INTEGRATED TECHNOLOGIES LLC, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY (INCLUDING OTHER USERS) ON THE SERVICE; (C) ANY AGREEMENT OR TRANSACTION BETWEEN YOU AND ANOTHER USER; (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF WISE INTEGRATED TECHNOLOGIES LLC EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNT YOU PAID US, IF ANY, IN THE PAST SIX MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless WISE Integrated Technologies LLC and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of a) your use and access of the Service, or b) a breach of these Terms.

11. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of New York, without regard to its conflict of law provisions.

Any dispute arising from these Terms shall be resolved through binding arbitration in Suffolk County, New York, in accordance with the rules of the American Arbitration Association.

12. General Terms

Entire Agreement: These Terms constitute the entire agreement between you and WISE Integrated Technologies LLC regarding our Service.
Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
